Legal Notice
This Legal Notice governs your access to and use of the website operated by Paragon Digital Consulting, Inc. (referred to herein as "Paragon," "we," "us," or "the Company") and serves as the authoritative reference point for all legal policies governing how we operate, what we protect, and what you can expect from us.
By accessing this Site, you confirm that you have read, understood, and agreed to the terms set out here and in the linked policies below. If you do not agree, please discontinue use of this Site.
1. PROPRIETARY RIGHTS & INTELLECTUAL PROPERTY
1.1 Ownership of Content
All content on this Site — including but not limited to text, graphics, proprietary frameworks, advisory models, research reports, white papers, Perspectives, podcast recordings, webinars, videos, photographs, typefaces, and digital downloads (collectively, "Content") — is the property of Paragon Digital Consulting, Inc. or its licensed content contributors, and is protected under Canadian copyright law, United States copyright law, and applicable international intellectual property treaties.
These rights are valid and protected across all formats, media, and technologies, whether currently existing or developed in the future.
1.2 Trademarks and Brand Identity
The Paragon name, logo, taglines, and all associated service marks and trade dress are trademarks of Paragon Digital Consulting, Inc. Nothing on this Site shall be interpreted as granting, by implication or otherwise, any licence or right to use any Paragon trademark without the prior written consent of the Company. Unauthorized use of our marks — including reproduction, imitation, or use in a manner likely to cause confusion — is strictly prohibited.
1.3 Proprietary Advisory Models and Frameworks
All proprietary frameworks, diagnostic tools, methodologies, and advisory models developed by Paragon (collectively, the "Paragon Models") and displayed or described on this Site are the exclusive intellectual property of Paragon Digital Consulting, Inc. Their presence on this Site does not constitute a transfer of any rights, nor does it grant any licence — express or implied — to reproduce, adapt, resell, or "white-label" these Models for any commercial purpose, or to use them in providing services to third parties, without a separate, written licence agreement executed with Paragon.
1.4 Digital Media and Podcast Content
All audio, video, and multimedia content — including podcasts, recorded webinars, and linked media hosted on or distributed through this Site — remains the property of Paragon Digital Consulting, Inc. You may not record, edit, excerpt, redistribute, or repurpose this content in any form. Sharing is permitted exclusively through the original, unaltered links provided by Paragon. Guest contributors appearing in Paragon media retain no ownership rights over the final published work unless expressly agreed to in writing.
1.5 User Submissions
If you submit comments, questions, ideas, or feedback through this Site ("Submissions"), you grant Paragon a non-exclusive, royalty-free, perpetual licence to use and incorporate such Submissions for the purpose of improving our services, publications, and platforms. Paragon will not attribute Submissions publicly or use them in client-facing advisory work in a manner that identifies you without your express consent. Submissions do not create a consulting relationship, confidentiality obligation, or any form of compensation entitlement.
1.6 Permission Requests
For licensing enquiries, content reproduction requests, or any matter relating to intellectual property, please contact us at legal@paragondigitalconsulting.com.
2. DISCLAIMER OF WARRANTIES
The Content and materials on this Site are provided on an "as is" and "as available" basis. While Paragon holds itself to the highest standards of accuracy and professional integrity, we make no representations or warranties — express or implied — regarding the completeness, accuracy, reliability, suitability, or availability of any Content on this Site for any particular purpose. This disclaimer applies without limitation to implied warranties of merchantability or fitness for a particular purpose, to any warranty that the Site will be uninterrupted, error-free, or free of harmful components, and to the accuracy or currency of any information published on this Site, including research, market data, or third-party references.
To the fullest extent permitted under applicable law — including the laws of Alberta, Canada, and any other jurisdiction from which this Site is accessed — Paragon expressly disclaims all such warranties. This disclaimer does not affect the separate warranties and representations made under any signed engagement agreement between Paragon and a client.
3. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Paragon Digital Consulting, Inc. — including its directors, officers, employees, associates, advisors, and contractors — shall not be liable for any loss or damage arising from your access to, reliance upon, or use of this Site or its Content. This limitation applies without restriction to direct, indirect, incidental, consequential, or punitive damages, to any loss of data, revenue, business opportunity, or goodwill, and to damages resulting from unauthorized access to or alteration of your data or transmissions. Your use of this Site is at your sole risk.
Certain jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages. Where such laws apply, the limitations above shall apply only to the fullest extent permitted. Nothing in this Legal Notice limits Paragon's liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law, including Alberta's Tortfeasors Act or equivalent consumer protection legislation in other jurisdictions.
4. GOVERNING LAW & JURISDICTION
This Legal Notice and all linked policies are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. For matters involving clients, candidates, or users located outside Canada, Paragon acknowledges its obligations under applicable local law, including but not limited to the regulations referenced in our Privacy Policy.
Any dispute arising from your use of this Site that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, unless otherwise required by mandatory local law in your jurisdiction.
