INTRODUCTION
Welcome to the website of Paragon Digital Consulting, Inc. ("Paragon," "we," "us," or "the Company"), located at www.paragondigitalconsulting.com (the "Site"). The following Terms of Use ("Terms") govern your access to and use of the Site, including all content, features, and services made available through it.
By accessing, browsing, downloading, or otherwise using any content, materials, or services available on or through the Site, you confirm that you have read, understood, and agree to be legally bound by these Terms — both on your own behalf and, where applicable, on behalf of the organization you represent. You further represent that you have the authority to bind that organization to these Terms and that you are of the age of majority in your jurisdiction of residence. If you do not agree to these Terms, you are not authorized to use this Site and must exit immediately.
These Terms should be read in conjunction with our Privacy Policy, Cookie Policy, and Professional Disclaimer, each of which is incorporated by reference and forms part of the complete agreement governing your use of the Site. In the event of a conflict between these Terms and any signed engagement agreement between you and Paragon, the engagement agreement shall prevail.
1. RIGHT TO MODIFY THESE TERMS
Paragon reserves the right to change, modify, add, or remove portions of these Terms at any time without prior notice. The date of the most recent revision is noted at the top of this document. Please review these Terms periodically. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms. If any part of these Terms becomes unacceptable to you at any time, you must immediately discontinue your use of the Site.
2. LICENCE TO USE THE SITE
Subject to these Terms, Paragon grants you a personal, limited, non-exclusive, non-transferable, and revocable licence to access and use the Site solely for lawful purposes consistent with these Terms. Subject to your full compliance with these Terms, you are authorized to view Site content, make a single copy of it, and print that copy, but only for your own lawful, personal, non-commercial use, provided that you maintain all copyright, trademark, and other intellectual property notices contained in that content and that the content is not modified in any way.
This licence does not include the right to reproduce, redistribute, sell, frame, or commercially exploit any portion of the Site or its content, to use data mining, scraping, robots, crawlers, or automated extraction tools, or to access the Site through any means other than the interfaces expressly provided by Paragon. Any use of the Site not expressly permitted by these Terms constitutes a breach of these Terms and may violate applicable copyright, trademark, patent, and other laws.
3. USER REGISTRATION AND ACCOUNT RESPONSIBILITIES
Certain areas of the Site require registration and the creation of an account. By registering, you agree to provide accurate, current, and complete information and to update that information promptly if it changes. You represent that all personal information submitted during registration is true, valid, and up to date. Individual access to the Site is available only to persons who are of the age of majority in their jurisdiction of residence. Your right to use the Site is personal to you and may not be transferred to any other person.
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activity that occurs under your account. Paragon will not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials. If you become aware of any unauthorized use of your account or any other security breach, you agree to notify Paragon immediately at legal@paragondigitalconsulting.com. Paragon reserves the right to disable any account, username, or password at any time at our sole discretion, including where we reasonably believe a violation of these Terms has occurred or is likely to occur.
Any personal information provided during registration is handled in accordance with our Privacy Policy.
4. VICTORYHQ CLIENT PORTAL
Paragon's client portal, currently operating as VictoryHQ (or such other platform as Paragon may designate from time to time), is operated as a separate, independently hosted platform from this Site. Access to VictoryHQ is governed by the terms and conditions of that platform, which are presented at the point of registration. These Terms govern your use of the Site at www.paragondigitalconsulting.com and do not extend to VictoryHQ except to the extent that they address the professional relationship between you and Paragon generally.
VictoryHQ operates within a segmented technology architecture designed to protect the integrity and confidentiality of client data. In the event of a security incident affecting one segment of Paragon's technology environment, this architecture is designed to limit the scope of exposure across other segments. Paragon has selected enterprise-grade systems and service providers across all platforms and regularly reviews its technology posture to ensure appropriate protections are in place.
5. PAYMENT PROCESSING
Where services are made available for purchase through the Site or VictoryHQ, Paragon uses independent, enterprise-grade third-party payment processors to manage all transactions. Payment card details and financial credentials submitted in connection with a transaction are processed and held exclusively by the payment processor and are never stored on Paragon's own systems. All payment data is encrypted in transit in accordance with current industry standards, and Paragon's technology architecture is designed to ensure that payment processing systems remain segregated from all other operational and data environments.
You are responsible for all charges incurred under your account, whether initiated by you or by another person using your account credentials. If you believe an error has occurred in connection with a transaction, please contact us promptly at legal@paragondigitalconsulting.com.
6. PROHIBITED CONDUCT
You agree to use the Site and its content only for lawful purposes and in a manner consistent with all applicable laws and regulations in your jurisdiction. You may not upload to, distribute through, or otherwise publish via the Site any content or conduct that is defamatory, obscene, abusive, harassing, or threatening; contains computer viruses, malware, worms, or other harmful or destructive code; violates the intellectual property rights, privacy rights, or publicity rights of any person or entity; contains false or misleading statements or misrepresents your identity or affiliation; constitutes unsolicited advertising, spam, phishing, or solicitation of any kind; is otherwise unlawful under any applicable civil or criminal law.
You may not use the Site for any commercial purpose beyond those expressly authorized by Paragon in writing, and you may not solicit other users of the Site to subscribe to competing services. You may not access the Site through automated means including bots, scripts, crawlers, or data extraction tools, or attempt to gain unauthorized access to any part of the Site, its servers, or any connected system or network.
7. COPYRIGHT AND INTELLECTUAL PROPERTY
All content on the Site — including but not limited to text, graphics, logos, frameworks, advisory models, research reports, white papers, Perspectives, podcast recordings, webinars, videos, photographs, typefaces, and digital downloads (collectively, "Site Content") — is the property of Paragon Digital Consulting, Inc. or its licensed content contributors, and is protected under Canadian copyright law, United States copyright law, and applicable international intellectual property treaties and conventions. Certain trademarks and logos displayed on the Site may be owned by third parties and are used with permission.
Nothing on this Site shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Site Content beyond the limited personal use described in Section 2, without the prior written permission of Paragon or the applicable third-party rights holder. All rights not expressly granted in these Terms are reserved by Paragon. You may not remove or alter any copyright, trademark, or proprietary notice appearing on the Site or in any Site Content.
7.1 Intellectual Property Infringement Notification
Paragon respects the intellectual property rights of others and expects users of the Site to do the same. If you believe that any content on the Site infringes your copyright or other intellectual property right, please submit a written notice to legal@paragondigitalconsulting.com that includes the following: a description of the intellectual property right claimed to have been infringed and the specific content on the Site alleged to be infringing; your name, address, and contact details; a statement that you have a good faith belief that the use is not authorized by the rights holder, its agent, or applicable law; a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the rights holder; and your signature or that of an authorized representative.
Paragon will review all properly submitted notices and take appropriate action, including removing or disabling access to content found to be infringing. Persons who repeatedly submit infringing material may have their access to the Site permanently revoked.
7.2 User Submissions
If you submit comments, feedback, ideas, or other material through the Site ("User Submissions"), you grant Paragon a non-exclusive, royalty-free, perpetual licence to use such submissions for the purpose of improving our services and platform. Paragon will not use User Submissions in a manner that publicly identifies you without your express consent. User Submissions do not create any consulting, advisory, or employment relationship, nor any obligation of compensation or confidentiality on the part of Paragon.
8. SCOPE OF PROFESSIONAL RELATIONSHIP
The Site and its content are provided for general informational purposes only. Accessing, browsing, or using the Site — including registering for an account, reading published content, listening to podcasts, downloading reports, or submitting an enquiry — does not create a consulting, advisory, coaching, or employment relationship between you and Paragon, nor does it give rise to any fiduciary obligation or duty of care.
A professional relationship with Paragon is established only through the execution of a separate, written engagement agreement signed by an authorized representative of Paragon. The terms and scope of any such relationship are governed exclusively by that engagement agreement and not by these Terms. Paragon does not provide legal, accounting, tax, or regulatory advice through this Site. Readers and users of Site Content are responsible for obtaining independent professional advice on all such matters. Please refer to our Professional Disclaimer for full details on the nature and limitations of content published on this Site.
9. THIRD-PARTY LINKS AND EXTERNAL CONTENT
The Site may contain links to third-party websites, resources, or services that are not owned or controlled by Paragon. These links are provided solely as a convenience and for reference purposes. The inclusion of any third-party link on this Site does not constitute an endorsement, recommendation, sponsorship, or approval by Paragon of the linked site, its content, its operators, or any products or services offered through it.
Paragon has no control over and accepts no responsibility for the content, privacy practices, accuracy, or availability of any third-party websites. Your access to and use of any linked third-party site is entirely at your own risk and is subject to the terms and conditions of that site. We encourage you to review the privacy policy and terms of use of any external site you visit.
10. CONTENT MANAGEMENT AND SITE AVAILABILITY
Paragon does not and cannot review all content posted or submitted by users of the Site and is not responsible for such content. However, Paragon reserves the right to remove, edit, move, or restrict access to any user-submitted content that it determines, in its sole discretion, violates these Terms or is otherwise objectionable. You remain solely responsible for all content posted by you or by any other person using your account.
The Site may become temporarily unavailable as a result of maintenance, technical malfunction, or other circumstances outside Paragon's control. Paragon reserves the right to change, suspend, or discontinue any aspect of the Site at any time, including the availability of any feature, content, or service, without prior notice or liability.
11. ERRORS, INACCURACIES, AND OMISSIONS
While Paragon strives to ensure that all content on the Site is accurate and current, we cannot guarantee that the Site will be free of errors, inaccuracies, or omissions at all times. Paragon reserves the right to correct any errors and to update or remove content at any time without prior notice and without liability. Paragon has made no undertaking to update content after the date of its original publication, notwithstanding that such content may become outdated or inaccurate over time. Readers are responsible for assessing the relevance and accuracy of content on the Site and for obtaining independent advice where appropriate.
12. DISCLAIMER OF WARRANTIES

No advice or information, whether oral or written, obtained by you from this Site or from Paragon personnel in connection with the Site shall create any warranty not expressly stated in these Terms. Any representations made by Paragon personnel that differ from these Terms shall have no binding force or effect unless confirmed in a signed written agreement.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Paragon Digital Consulting, Inc. — including its directors, officers, employees, associates, advisors, contractors, predecessors, successors, and affiliates — shall not be liable to you or any third party for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to, use of, or inability to use the Site or any Site Content, including but not limited to loss of data, loss of revenue, loss of business opportunity, or loss of goodwill, even if Paragon has been advised of the possibility of such damages. It is unreasonable for any party to rely on Site Content for any purpose beyond general information, and use of the Site shall constitute agreement with this limitation.
Where applicable law does not permit the exclusion or limitation of certain categories of damages, Paragon's liability shall be limited to the fullest extent permitted in that jurisdiction. Nothing in these Terms limits Paragon's liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Paragon Digital Consulting, Inc. and its directors, officers, employees, associates, advisors, contractors, predecessors, successors, affiliates, licensors, and information providers from and against any and all claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or in connection with your use of the Site, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights. Paragon reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate reasonably with Paragon's defence of such claim.
15. MONITORING, ENFORCEMENT, AND TERMINATION
Paragon reserves the right, but assumes no obligation, to monitor use of the Site for compliance with these Terms. We reserve the right to take any action we deem appropriate in response to a violation or suspected violation, including issuing a warning, suspending or terminating access, removing content, or referring the matter to law enforcement. Paragon will cooperate fully with any law enforcement authority or court order requesting disclosure of information about any user of the Site. Termination of your access does not affect any rights or obligations that have accrued prior to termination.
16. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from your use of the Site that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, unless otherwise required by mandatory local law in your jurisdiction. Paragon encourages informal resolution of disputes in the first instance. 17. ENTIRE AGREEMENT AND NO WAIVER
These Terms, together with the Privacy Policy, Cookie Policy, and Professional Disclaimer incorporated by reference, constitute the entire agreement between you and Paragon with respect to your use of the Site and supersede all prior written or oral agreements relating to the same subject matter. These Terms may not be amended except by a written instrument signed by an authorized representative of Paragon. No waiver by Paragon of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default unless made in writing and signed by an authorized representative of Paragon.
